These Terms and Conditions (the “Terms”) govern the use of TrueNorth Frames (the “Site”). This Site is owned and operated by Yogesh Kumar Rajakumar Vimaleswari, operating as Yogesh Strategy and Analytics.
By using this Site, you indicate that you have read and understand these Terms and agree to abide by them at all times.
THESE TERMS CONTAIN A DISPUTE RESOLUTION CLAUSE THAT IMPACTS YOUR RIGHTS ABOUT HOW TO RESOLVE DISPUTES. PLEASE READ IT CAREFULLY.
TrueNorth Frames is a marketplace connecting clients with photographers in Edmonton, Alberta, operated by Yogesh Strategy and Analytics. We facilitate discovery and booking but are not a party to agreements between clients and photographers.
The minimum age to use our Site is 18 years old. By using this Site, users agree that they are over 18 years old. We do not assume any legal responsibility for false statements about age.
We reserve the right to suspend or terminate your account if you are using our Site illegally or if you violate these Terms.
As a user of our Site, you agree to use our Site legally, not to use our Site for illegal purposes, and not to:
If we believe you are using our Site illegally or in a manner that violates these Terms, we reserve the right to limit, suspend, or terminate your access to our Site, and to take any legal steps necessary to prevent you from accessing our Site.
Users may post content on our Site, including photos, videos, and public comments (such as reviews). By posting publicly on our Site, you agree not to act illegally or violate these Terms.
Photographers retain full ownership of the photos and content they upload. By uploading content to TrueNorth Frames, you grant us a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, and display that content on the TrueNorth Frames platform for the purpose of operating the platform — including on your public profile and in platform features such as photographer discovery and featured listings.
This licence is limited to use on the platform itself. We will not use your content in external or paid marketing (for example, off-platform advertising, paid social campaigns, or promotional materials on third-party sites) without your separate, express permission.
This licence lasts for as long as your content remains on the platform. When you delete specific content or your account, the licence ends and we will remove that content from public display within a reasonable period, subject to the retention limits described in our Privacy Policy (for example, backup rotation and cached copies served by third parties may persist temporarily).
All other content published and made available on our Site that is created by us — including the site design, logos, text, and downloadable files that we author — is our property. This does not include content uploaded by users, which remains owned by those users.
Trust Scores are estimates generated from third-party data (such as Google, Instagram, Facebook, and Yelp) and native platform activity. They are provided for general informational purposes only and are not guarantees of a photographer’s quality, reliability, or suitability.
Third-party data may be incomplete, delayed, outdated, or inaccurate, and scores may change over time. You should not rely on a Trust Score as the sole basis for a booking or any other decision. To the fullest extent permitted by law, TrueNorth Frames is not liable for decisions made in reliance on a Trust Score.
Trust Scores are calculated using a methodology that we may change, update, recalculate, or discontinue at any time and at our sole discretion, including by adjusting how third-party and platform data are weighted. Your Trust Score may go up or down as a result, and we do not guarantee that any particular score will be maintained. You are not entitled to any compensation or remedy arising from changes to your Trust Score or to the scoring methodology.
We may suspend, restrict, or terminate your account and access to the platform at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in prohibited conduct, posted false reviews, attempted to manipulate Trust Scores, or otherwise created risk or possible legal exposure for us or other users. We may also suspend or discontinue the platform, or any part of it, at any time. You may stop using the platform and delete your account at any time. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and dispute resolution — will continue to apply after your account is closed.
We respect intellectual property rights and expect our users to do the same. You may only upload content that you own or have the necessary rights to use. If you believe that content on the platform infringes your copyright or other intellectual property rights, please contact us at aceinnovate21@gmail.com with: (1) a description of the work you claim has been infringed; (2) the location of the allegedly infringing content on the platform; (3) your contact information; and (4) a statement that you believe in good faith that the use is not authorized by the rights holder or the law.
We will review complaints and may remove or disable access to content that we determine, in our discretion, infringes another party’s rights. We may also suspend or terminate the accounts of users who repeatedly infringe intellectual property rights.
The platform is provided on an “as-is” and “as-available” basis, without warranties of any kind. Yogesh Kumar Rajakumar Vimaleswari and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities, and expenses including legal fees arising from your use of the Site, for disputes between clients and photographers, or for payment issues handled outside the platform.
Except where prohibited by law, by using this Site you indemnify and hold harmless Yogesh Kumar Rajakumar Vimaleswari and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities, and expenses including legal fees arising out of your use of our Site or your violation of these Terms.
These Terms are governed by the laws of the Province of Alberta.
Subject to any exceptions specified in these Terms, if you and Yogesh Kumar Rajakumar Vimaleswari are unable to resolve any dispute through informal discussion, then you both agree to submit the issue first before a non-binding mediator and to an arbitrator in the event that mediation fails. The decision of the arbitrator will be final and binding. Any mediator or arbitrator must be a neutral party acceptable to both parties. The costs of any mediation or arbitration will be shared equally between you and Yogesh Kumar Rajakumar Vimaleswari.
Notwithstanding any other provision in these Terms, you and Yogesh Kumar Rajakumar Vimaleswari agree that you both retain the right to bring an action in small claims court and to bring an action for injunctive relief or intellectual property infringement.
If at any time any of the provisions set forth in these Terms are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms. All other provisions will not be affected by the removal and the rest of these Terms will still be considered valid.
These Terms may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site. We will notify users by email of changes to these Terms or post a notice on our Site.
